  1. Initial conversation

    We discuss the business, your priorities and what you are considering. No pitch deck is required. The objective is to determine whether there is enough alignment to continue.

  2. Understanding the opportunity

    If there is mutual interest, we review high-level information to understand the company’s market, customers, financial profile, products and future potential. The information request matches the stage of the conversation.

  3. Valuation and proposed terms

    We explain our valuation approach and the assumptions behind it. Proposed terms are presented clearly for discussion, including the areas that will require further validation during diligence.

  4. Due diligence

    Legal, financial, tax, commercial, operational and technology matters are reviewed in a coordinated process. The scope, information routes, responsibilities and timetable are agreed for the specific transaction.

  5. Completion and transition

    Documentation is finalized, required approvals are obtained and the agreed transition plan begins. Communication with employees, customers and partners is planned around the needs of the business.
